Totally Hip Finalizes Agreement to Acquire ici Media Inc.

Vancouver, British Columbia - August 27, 2002 - Totally Hip Inc. is pleased to announce that it has now entered into a binding Share Purchase Agreement providing for Totally Hip's purchase of ici Media Inc. of Vancouver, B.C.

Ici Media is a private company that has developed an interactive rich-media and video production, training and consulting business utilizing Totally Hip's LiveStage Professional technology.

The Share Purchase Agreement requires Totally Hip to issue 125,000 common shares for the acquisition of all of the issued and outstanding shares of ici Media Inc. The Totally Hip shares are to be issued to the three ici Media founders at a deemed price of $1.00 per share and will be subject to applicable hold periods. The previously announced pooling agreement on the Totally Hip shares to be issued on the acquisition is no longer required. The Share Purchase Agreement follows the non-binding agreement in principle announced August 14, 2001. Totally Hip's development expertise and ici Media's solutions and marketing talents are being combined by Totally Hip to grow the user base for Totally Hip's products and to increase Totally Hip's marketing, sales, support, training and consulting capabilities. Ici Media's key personnel are now providing their services to Totally Hip. Closing is subject to acceptance for filing of the acquisition by of the TSX Venture Exchange.
